Subscription, Downgrade and Billing Policy

This Subscription, Downgrade and Billing Policy (“Policy”) governs subscription plans, recurring billing, plan upgrades and downgrades, transitions to the Free Plan, free trials, usage allowances, and related billing practices offered by Locammend Corp. (“Company,” “we,” “us,” or “our”).
This Policy forms part of and is incorporated into our Terms of Service.
By purchasing or using a paid subscription or beginning a free trial, you agree to this Policy.
1. Subscription Plans
We currently offer the following subscription plans:
- Free — $0
- Plus — $18 USD per month
- Ultimate — $39 USD per month
Plus and Ultimate are monthly paid subscription plans.
Applicable taxes may be charged in addition to the listed subscription price where required by law.
Current plan features and usage allowances are displayed on our pricing page, subscription interface, within the Services, or otherwise communicated to you.
2. Plan Features and Usage Allowances
Different plans may include different features and usage allowances, including allowances relating to:
- Features;
- Extraction allowances;
- Posting allowances;
- Auto-fill allowances;
- Information-retrieval allowances; and
- Other usage limits.
Purchasing a paid subscription does not provide unlimited use of a feature unless that feature is expressly identified as unlimited.
Usage allowances associated with Plus and Ultimate are generally administered according to the applicable subscription billing cycle, as further described below.
Technical, security, rate-limiting, and abuse-prevention measures may separately apply as described in our Terms of Service.
3. Free Plan Extraction Allowance
The Free Plan currently includes 7 extraction uses per calendar month.
For purposes of the Free Plan extraction allowance, a “calendar month” begins at 12:00 a.m. UTC on the first day of each calendar month and ends immediately before 12:00 a.m. UTC on the first day of the following calendar month.
For accounts that remain on the Free Plan, the extraction allowance resets to 7 extraction uses at 12:00 a.m. UTC on the first day of each calendar month.
Dates and times displayed in the Services may be shown in your device's local time zone. As a result, a Free Plan extraction reset may appear to occur on the previous or following calendar day depending on your location. For purposes of determining the applicable reset time, the UTC-based reset described above will control.
Current Free Plan posting, auto-fill, and other applicable usage allowances or limitations, if any, will be displayed on our pricing page, within the Services, or otherwise communicated to you.
4. Plus and Ultimate Usage Cycles
Extraction and posting allowances associated with Plus and Ultimate are generally measured according to the applicable subscription billing cycle rather than by UTC calendar month.
Your applicable billing cycle is based on your subscription billing period as reflected in your account and our payment processing system.
Other features, including auto-fill, may also be subject to plan-specific allowances or limits as communicated through the Services.
Unless expressly stated otherwise, unused paid-plan usage allowances expire when the applicable subscription billing cycle ends and do not roll over into a subsequent billing cycle.
5. Payment Processing
Paid subscriptions and Ultimate free trials are administered through Stripe or another payment processor designated by us.
By purchasing a paid subscription, you authorize us and our payment processor to charge the payment method on file for:
- Applicable subscription fees;
- Applicable taxes; and
- Other amounts that you expressly authorize.
A valid payment method is required to begin an Ultimate free trial.
We generally do not directly collect or store your complete payment card information.
Payment processing may also be subject to the applicable payment processor's terms and privacy practices.
6. Automatic Renewal
Plus and Ultimate subscriptions automatically renew on a monthly basis unless you downgrade to another plan or otherwise prevent the paid subscription from renewing in accordance with this Policy.
At each renewal, the then-applicable subscription fee, plus applicable taxes, will be charged to the authorized payment method on file.
By subscribing to Plus or Ultimate, you authorize recurring monthly charges until your paid subscription is downgraded, terminated, or otherwise ends in accordance with this Policy.
7. Upgrading from Plus to Ultimate
You may upgrade from Plus to Ultimate during an active Plus billing cycle.
The upgrade takes effect immediately after the required upgrade payment is successfully processed.
If you upgrade during an active Plus billing cycle:
- The unused monetary value of the remaining portion of your Plus subscription will be reflected as a prorated credit or adjustment on the applicable upgrade invoice;
- You will be charged the prorated difference required to upgrade to Ultimate for the remainder of the current billing cycle;
- The applicable amount will be charged to your payment method on file;
- Ultimate features and the applicable Ultimate usage rules will become effective after successful payment; and
- Your existing subscription billing date will remain unchanged.
Upgrading to Ultimate does not, by itself, begin a new full monthly billing cycle or change your existing recurring billing date.
At the next scheduled renewal date, your Ultimate subscription will renew at the then-current Ultimate subscription price, currently $39 USD per month, plus applicable taxes.
8. Failed Upgrade Payments
A Plus-to-Ultimate upgrade is conditional upon successful payment of the applicable prorated upgrade amount.
If the required payment cannot be successfully processed:
- The upgrade will not take effect;
- Ultimate access will not be activated as a result of the failed upgrade;
- Your subscription will remain on Plus; and
- Your existing Plus billing cycle will continue.
9. Upgrade Proration Is Not an Account Credit
Any credit or adjustment reflected in connection with a Plus-to-Ultimate upgrade is solely an invoice-level proration used to calculate the amount due for the upgrade.
It does not create:
- An account credit balance;
- A customer wallet;
- Stored monetary value;
- A cash balance; or
- A separately redeemable credit.
An invoice-level proration cannot be withdrawn, transferred, redeemed for cash, or used as a general account balance.
Usage allowances are separate from monetary invoice prorations.
10. Downgrading from Ultimate to Plus
You may schedule a downgrade from Ultimate to Plus.
An Ultimate-to-Plus downgrade takes effect at the end of your then-current Ultimate billing cycle, rather than immediately.
When you schedule the downgrade:
- No new subscription charge is collected solely because you scheduled the downgrade;
- No prorated refund is issued for the remaining portion of the current Ultimate billing cycle;
- No monetary account credit is created;
- Your Ultimate subscription remains active through the end of the current billing cycle;
- You continue to receive Ultimate features until that billing cycle ends; and
- You may continue to use the remaining extraction, posting, and other applicable Ultimate usage allowances associated with that billing cycle.
When the current Ultimate billing cycle ends:
- Ultimate access ends;
- Any unused Ultimate usage allowances associated with that billing cycle expire;
- Your account transitions to Plus;
- The Plus Plan's then-current features and usage allowances become applicable; and
- The payment method on file will be charged the then-current Plus subscription price, currently $18 USD per month, plus applicable taxes, for the new Plus billing cycle.
Unused Ultimate usage allowances do not carry over into Plus unless we expressly state otherwise.
11. Reversing a Scheduled Ultimate-to-Plus Downgrade
You may reverse a scheduled Ultimate-to-Plus downgrade at any time before the downgrade becomes effective.
If you reverse the scheduled downgrade before the end of your current billing cycle:
- Your account will remain on Ultimate;
- The scheduled transition to Plus will not occur; and
- Your Ultimate subscription will continue to renew at the then-applicable Ultimate subscription price.
12. Downgrading a Paid Subscription to Free
You may downgrade a Plus or Ultimate subscription to the Free Plan through the subscription-management functionality available through the Services.
A downgrade to Free takes effect at the end of your then-current paid subscription billing cycle, rather than immediately.
When you schedule a downgrade to Free:
- Your current paid plan remains active through the end of the current billing cycle;
- You continue to receive the features of your current paid plan;
- You may continue to use the remaining extraction, posting, and other applicable usage allowances associated with that billing cycle;
- No prorated refund is issued for the unused portion of the current paid billing cycle; and
- Your paid subscription will not renew for another paid billing cycle once the downgrade becomes effective.
Unless otherwise required by applicable law, subscription fees already paid are non-refundable.
13. Transition from a Paid Plan to Free
When a scheduled downgrade from Plus or Ultimate to Free becomes effective:
- The paid subscription ends;
- Any unused usage allowances associated with the paid billing cycle expire;
- The account transitions to the Free Plan; and
- The Free Plan's then-current features and usage allowances become applicable.
When your account transitions from a paid plan to the Free Plan during a calendar month, your account will receive a new Free Plan allowance of 7 extraction uses when the transition becomes effective.
Extraction usage incurred while your account was on Plus or Ultimate during that same calendar month will not reduce or count against the newly granted Free Plan extraction allowance.
Any unused extraction allowance associated with your prior paid plan expires when the applicable paid subscription billing cycle ends and does not carry over to the Free Plan.
The newly granted Free Plan extraction allowance will remain available for the remainder of that UTC calendar month.
At 12:00 a.m. UTC on the first day of the following calendar month, any unused Free Plan extraction allowance will expire and your Free Plan extraction allowance will reset to 7 extraction uses for the new calendar month.
For example, if your paid subscription ends in the middle of a calendar month, you will receive the full 7-use Free Plan extraction allowance when your account transitions to Free, regardless of how many extractions you previously used under Plus or Ultimate during that calendar month.
Paid-plan usage allowances do not convert into additional Free Plan allowances, monetary credits, account balances, or cash value.
14. Posting and Other Usage Allowances Following a Downgrade
Posting allowances associated with Plus and Ultimate are generally measured according to the applicable paid subscription billing cycle.
If an Ultimate-to-Plus or paid-to-Free downgrade is scheduled:
- The current plan's posting and other applicable usage allowances remain available until the current billing cycle ends; and
- The applicable new plan's posting and other usage rules begin when the downgrade becomes effective.
Accordingly:
- Ultimate → Plus: Ultimate usage rules remain in effect through the end of the current Ultimate billing cycle, after which Plus usage rules apply.
- Plus or Ultimate → Free: Paid-plan usage rules remain in effect through the end of the current paid billing cycle, after which the Free Plan's then-current usage rules apply.
Unless expressly stated otherwise, unused paid-plan posting, auto-fill, or other usage allowances do not carry over to the new plan.
15. Expiration of Paid-Plan Usage Allowances
Unless expressly stated otherwise, unused usage allowances associated with Plus or Ultimate:
- Expire when the applicable subscription billing cycle ends;
- Do not roll over into a subsequent billing cycle;
- Do not transfer to another subscription plan;
- Do not have monetary value;
- Are not refundable;
- Are not transferable between accounts;
- Do not constitute account credit; and
- Do not increase the usage allowance available under a subsequent plan.
16. Reversing a Scheduled Downgrade to Free
You may reverse a scheduled downgrade to Free at any time before the downgrade becomes effective.
If you reverse the scheduled downgrade in time:
- Your account will remain on your current paid plan;
- The scheduled transition to Free will not occur; and
- Your paid subscription will continue to renew according to the applicable subscription terms and price.
17. Account Data After Downgrading to Free
Downgrading to the Free Plan does not automatically delete your account or digital business card.
When a paid subscription transitions to Free, we may retain your:
- Account information;
- Digital business cards;
- Posts;
- Account history;
- Profile information; and
- Other account content
in accordance with our Privacy Policy.
Certain paid-plan features, posts, historical information, content, or functionality may become hidden, limited, or unavailable while your account is on the Free Plan.
If you later subscribe to an eligible paid plan, retained content or functionality may become available again, subject to the features and functionality of your then-current plan.
Downgrading to the Free Plan is separate from deleting your account or submitting a privacy deletion request.
18. Card and Account Deletion
Deleting an individual digital business card is separate from downgrading your subscription plan or deleting your account.
Deleting your account is also separate from downgrading a paid subscription to the Free Plan.
Account and personal-information deletion are handled in accordance with the account-deletion functionality available through the Services and our Privacy Policy.
Deleting your account does not automatically end an active paid subscription or free trial.
Before deleting your account, you should first downgrade any active paid subscription to the Free Plan, or otherwise end it, through the subscription-management functionality available through the Services.
If you delete your account while a paid subscription remains active, subscription charges may continue until the subscription is ended through the available billing controls or by contacting us at localadvocate@locammend.com.
19. Ultimate Free Trial
Eligible users may receive a free trial of the Ultimate Plan.
Unless we expressly state otherwise, free trials are available only for Ultimate.
A valid payment method is required to begin an Ultimate free trial.
The subscription amount charged when the trial begins is:
$0.00
No Ultimate monthly subscription fee is charged at the beginning of the trial.
20. Trial Duration
The duration of an Ultimate free trial depends on the offer issued to your account.
Current trial offers may include:
- 30 days for certain early users; or
- 7 days for certain invited users.
The specific trial duration applicable to your account is the duration presented or granted when the trial is issued.
21. Automatic Conversion from Trial to Paid Ultimate
Unless you schedule a downgrade to Free or an eligible transition to Plus before your Ultimate free trial expires, the Ultimate free trial will automatically convert to a paid Ultimate subscription when the applicable trial period ends.
At that time:
- The free trial ends;
- A paid Ultimate subscription begins;
- The payment method on file will be charged the then-current Ultimate subscription price, currently $39 USD per month, plus applicable taxes;
- A paid Ultimate billing cycle begins; and
- The Ultimate subscription will thereafter automatically renew monthly until downgraded or otherwise ended in accordance with this Policy.
By beginning an Ultimate free trial, you authorize us and our payment processor to charge the applicable Ultimate subscription fee when the trial expires unless you timely schedule an available downgrade or plan change before the trial ends.
22. Downgrading an Ultimate Free Trial to Free
During an active Ultimate free trial, you may schedule a downgrade to the Free Plan.
If you schedule a downgrade to Free before the trial expires:
- You will not be charged the Ultimate monthly subscription fee for that trial;
- Your Ultimate trial will remain active through the end of the applicable trial period unless otherwise stated;
- No paid Ultimate subscription will begin when the trial expires; and
- Your account will transition to the Free Plan when the trial ends.
When the account transitions to Free:
- Any unused Ultimate trial-specific usage allowance expires;
- Trial-specific usage allowances do not carry over to Free; and
- The Free Plan's then-current features and usage allowances become applicable.
When the transition to Free becomes effective, your account will receive the Free Plan's then-current extraction allowance.
The Free Plan currently includes 7 extraction uses per UTC calendar month.
If the transition occurs during a calendar month, the account will receive the full 7-use Free Plan extraction allowance at the time of transition. Extraction usage incurred during the Ultimate free trial will not reduce or count against this newly granted Free Plan allowance.
The Free Plan allowance will thereafter reset according to the UTC calendar-month rules described in this Policy.
23. Scheduling Plus After an Ultimate Free Trial
During an Ultimate free trial, you may schedule your account to transition to Plus when the trial ends.
If you select this option:
- Your Ultimate trial remains free through the end of the applicable trial period;
- You continue receiving Ultimate trial features and applicable trial usage allowances through the end of the trial;
- You are not charged the Plus subscription fee during the trial;
- You are not charged the Ultimate $39 monthly subscription fee when the trial ends;
- When the trial ends, your account transitions directly to Plus;
- The payment method on file will be charged the then-current Plus subscription price, currently $18 USD per month, plus applicable taxes; and
- A paid Plus monthly billing cycle begins at that time.
The Plus subscription will thereafter automatically renew monthly until downgraded or otherwise ended in accordance with this Policy.
Any unused Ultimate trial-specific usage allowances expire when the trial ends and do not carry over into Plus unless we expressly state otherwise.
24. No Immediate Plan Switching During an Ultimate Free Trial
During an active Ultimate free trial, you may not immediately switch the active trial to Plus or another paid subscription tier.
A permitted downgrade to Free or transition to Plus selected during the trial will take effect when the Ultimate trial ends.
This restriction does not prevent you from scheduling a downgrade to Free during the trial.
25. One Ultimate Free Trial Per Account
Unless we expressly state otherwise, each account is eligible for only one Ultimate free trial.
Once an account has received or used an Ultimate free trial:
- Downgrading the trial to Free does not restore trial eligibility;
- Transitioning to Plus after the trial does not restore trial eligibility;
- Transitioning to paid Ultimate does not create eligibility for another trial;
- Downgrading a later paid subscription does not restore trial eligibility; and
- Resubscribing does not create eligibility for another Ultimate free trial.
We may use reasonable account, subscription, billing, usage, and security information to determine trial eligibility and prevent duplicate, fraudulent, or abusive trial participation, as described in our Privacy Policy.
26. Payment Failures
Paid subscriptions and subscription changes requiring payment are subject to successful payment processing.
If a recurring subscription payment fails, we or our payment processor may retry the payment or take other actions permitted by applicable law and our billing configuration.
Paid functionality may be limited, suspended, or transitioned where a required payment remains unresolved, subject to applicable law.
For clarity, a Plus-to-Ultimate upgrade does not take effect unless the required prorated upgrade payment is successfully processed.
27. Taxes
Displayed subscription prices may not include applicable sales, use, value-added, or similar taxes unless expressly stated otherwise.
Where required by law, applicable taxes may be added to your subscription charge.
28. Changes to Subscription Pricing
We may change subscription prices from time to time.
Unless otherwise required by applicable law, a price change will apply to future billing cycles and will not retroactively change subscription fees already paid for a current or completed billing cycle.
Where required by applicable law, we will provide advance notice before a changed subscription price applies.
If applicable law requires additional affirmative consent before a changed price may be charged, we will obtain that consent.
29. Changes to Features and Usage Allowances
Plan features and usage allowances may change as the Services evolve.
Current features and applicable usage allowances will be displayed through our pricing page, subscription interface, within the Services, or otherwise communicated to you.
We may make reasonable changes to technical restrictions or usage rules for purposes including:
- Security;
- Abuse prevention;
- Reliability;
- Performance;
- Legal compliance; and
- Product development.
Technical, security, and abuse-prevention restrictions are further governed by our Terms of Service.
Where a change materially affects a paid subscription and applicable law requires advance notice or consent, we will provide such notice or obtain such consent.
30. No General Account Credit or Stored Balance
Except for invoice-level prorations expressly described in this Policy, we do not provide or maintain a general:
- Account credit;
- Customer wallet;
- Stored-value balance; or
- Cash-equivalent subscription balance.
A credit or adjustment appearing as part of an upgrade invoice is a billing calculation only and is not separately redeemable, transferable, or withdrawable.
31. Applicable Consumer Rights
Nothing in this Policy limits any consumer right that cannot lawfully be waived.
If applicable law provides a subscription, renewal, billing, refund, notice, consent, or other consumer protection that conflicts with this Policy, applicable law will control to the extent required.
32. Changes to This Policy
We may update this Policy to reflect changes to our subscriptions, billing practices, products, technologies, payment systems, or applicable legal requirements.
When we update this Policy, we will revise the “Last Updated” date.
Where required by applicable law, we will provide additional notice of material changes or obtain applicable consent.
